Established in 2004, THG (formerly known as The Hut Group) is an ecommerce business that sells own-brand and third-party products covering health and beauty, fashion, accessories and sport across over a raft of websites. It describes the business as “a leading vertically integrated, global ecommerce technology group and brand owner, powered by its proprietary technology platform, Ingenuity, through which it also provides end-to-end ecommerce solutions for brands to reach a global ecommerce consumer base”.

THG looks set to demerge its technology platform Ingenuity as it explores its options. The demerger requires shareholder approval and if it goes ahead, the group will comprise THG Beauty and THG Nutrition. The demerger will turn Ingenuity back into a private company while the rest of the business, dubbed RemainCo, will still trade on the London Stock Exchange. This could result in a very transparent, less complicated business model and could benefit the operations and appeal of the core retail business as a potential merger and acquisition opportunity.
